Terms of Service
The terms that govern CleanScan accounts, facility deployments, tags, scan flows, and operational records.

1. Acceptance of Terms
These Terms of Service (“Terms”) are an agreement between you and Elisson Holdings LLC (“CleanScan,” “we,” “our,” or “us”). By accessing or using CleanScan, you agree to these Terms.
If you use CleanScan on behalf of a company, facility, contractor, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
CleanScan is an operational record platform for cleaning contractors, service teams, and facilities. The Service helps customers create records of reported issues, cleaning activity, team routing, resolution proof, facility ratings, contractor reports, and related operational activity.
CleanScan uses web applications, dashboards, phone-based authentication, QR/NFC tags, notifications, reports, and related tools. CleanScan is not an emergency response system, a substitute for facility safety procedures, or a guarantee that any physical condition has been inspected, cleaned, or resolved.
3. Accounts, Roles, and Access
- You must provide accurate account, organization, billing, and contact information.
- You are responsible for safeguarding credentials, devices, and one-time passcodes.
- Account owners and administrators are responsible for inviting users, assigning roles, and removing access when people leave or no longer need it.
- Users must access only the facilities, teams, reports, and records they are authorized to use.
- We may suspend or terminate accounts that violate these Terms, create security risk, or misuse the Service.
4. Facility Deployment and Physical Tags
QR codes, NFC tags, stickers, signs, or other CleanScan physical touchpoints may be placed only in locations approved by the facility owner, operator, manager, or other authorized representative. Contractors must obtain facility approval before installing, moving, modifying, or removing tags unless their contract already grants that authority.
Customers are responsible for confirming that tag placement complies with facility rules, lease obligations, brand standards, safety requirements, accessibility requirements, privacy expectations, and applicable law. Tags must not obscure required signage, create a hazard, damage property, or imply endorsement by a brand or franchise unless that brand or franchise has approved the use.
Unless otherwise agreed in writing, facility-specific tags and the operational records tied to a facility are intended to remain associated with that facility even if a contractor relationship changes.
5. Sensitive Areas, Photos, and User Content
Customers and users are responsible for using CleanScan in a manner appropriate for the physical environment. Extra care is required in locker rooms, restrooms, changing areas, showers, saunas, healthcare areas, schools, residential areas, and any location where people have heightened privacy expectations.
You must not upload, request, or encourage content that intentionally captures:
- People in private or sensitive settings
- Nudity, minors, medical information, or private activity
- Harassing, defamatory, illegal, misleading, or discriminatory content
- Content that violates facility rules, third-party rights, or applicable law
We may remove, restrict, or disable access to content that violates these Terms or creates legal, privacy, safety, or security risk.
6. Customer Responsibilities
- Configure facilities, zones, issue categories, routing rules, proof policies, and notification settings accurately.
- Train staff, contractors, and service teams on approved use of CleanScan and facility-specific policies.
- Respond to issues, alerts, reports, and operational records according to your own contracts, policies, and legal obligations.
- Maintain appropriate permissions for contractor, facility, staff, and client portal users.
- Review records before relying on them for customer communications, dispute resolution, audits, or operational decisions.
7. Contractor and Facility Relationships
CleanScan may connect a contractor organization with one or more facilities through service relationships, reports, proof galleries, routing rules, or client portals. Each organization is responsible for ensuring it has the necessary contractual rights and approvals to share, view, or act on facility and contractor records.
CleanScan does not control the terms between facilities and contractors. CleanScan does not become a party to janitorial, maintenance, facility management, franchise, lease, or service agreements between customers and third parties.
8. Data and Privacy
Your use of CleanScan is also governed by our Privacy Policy. Please review it to understand how information is collected, used, shared, and retained.
As between you and CleanScan, you retain rights to the data you submit to CleanScan, subject to the rights and access controls of other authorized organizations in a relevant facility, contractor relationship, or service workflow. You grant CleanScan the rights needed to host, process, display, transmit, secure, back up, analyze, and improve the Service.
We may use aggregated, anonymized, or de-identified data that does not reasonably identify a person or customer to improve CleanScan, understand operational patterns, and develop product insights.
9. SMS Program Terms
Program description: CleanScan sends one-time passcodes for account authentication and operational facility alerts to staff who have explicitly opted in.
Message frequency: Message frequency varies. One-time passcodes are sent only on login attempts. Alert frequency depends on facility activity and notification settings.
Costs: Message and data rates may apply.
Opt out: Reply STOP at any time to unsubscribe from SMS alerts. You may receive a final confirmation message.
Help: Reply HELP for assistance, or contact support@cleanscan.io.
Carrier liability: Carriers are not liable for delayed or undelivered messages.
SMS is not required for all CleanScan features, but certain authentication and alert features depend on it. See our SMS Program page for a full description of the program and opt-in flow.
10. Subscription and Billing
Some parts of the Service are billed on a subscription basis. Unless otherwise agreed in writing, subscriptions renew automatically until canceled.
You are responsible for taxes, fees, and charges associated with your account. Paid plans, usage limits, setup fees, overages, trials, and enterprise terms may vary by plan or written agreement.
You may cancel through account settings or by contacting support. Cancellation does not automatically delete facility records, operational history, or data that must be retained for legal, security, billing, backup, or contractual reasons.
11. Acceptable Use
You agree not to use CleanScan:
- In violation of applicable law, contracts, facility policies, or third-party rights
- To harass, threaten, discriminate against, impersonate, or mislead any person or organization
- To submit false, fraudulent, malicious, or spam reports
- To attempt unauthorized access to accounts, facilities, reports, systems, or data
- To upload malware or interfere with the security, integrity, or availability of the Service
- To use CleanScan as an emergency dispatch, life-safety, medical, or regulatory compliance system unless separately agreed in writing
12. Intellectual Property
The Service, software, designs, documentation, content, trademarks, and related intellectual property are owned by Elisson Holdings LLC or its licensors.
You may not copy, modify, reverse engineer, sell, rent, sublicense, or create derivative works from the Service except as allowed by these Terms or applicable law.
13. Disclaimers
CleanScan is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
14. Limitation of Liability
To the fullest extent permitted by law, Elisson Holdings LLC and its directors, employees, contractors, agents, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, loss of goodwill, or substitute services arising from or related to your use of CleanScan.
15. Indemnification
You agree to defend, indemnify, and hold harmless Elisson Holdings LLC from claims, liabilities, damages, losses, and expenses arising from your use of CleanScan, your content, your facility deployment, your relationships with contractors or facilities, or your violation of these Terms.
16. Termination
We may suspend or terminate access to CleanScan if you violate these Terms, fail to pay amounts due, create legal or security risk, or misuse the Service. You may stop using CleanScan at any time or request account deletion, subject to retention described in our Privacy Policy and any applicable agreement.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
18. Changes to Terms
We may update these Terms from time to time. Changes are effective when posted unless a later date is stated. Continued use of CleanScan after updated Terms take effect means you accept the updated Terms.
